Raghunandan Capital Private Limited - Terms & Conditions for API Usage

1. Prohibitions and confidentiality

a) API Prohibitions

While using the Tradion APIs provided by Raghunandan Capital Private Limited “Company”, you agree that you shall not, and shall not permit any third party acting on your behalf to:

  • Sublicense, resell, or allow access to the APIs to any third party without prior written consent from the Company.
  • Introduce or attempt to introduce viruses, malware, worms, Trojan horses, defects, or any other malicious or destructive code into the Company’s systems, products, or services.
  • Engage in any activity that is defamatory, abusive, harassing, threatening, or otherwise unlawful.
  • Interfere with, disrupt, or adversely affect the APIs, servers, networks, or systems connected to the APIs.
  • Use the APIs to promote, facilitate, or engage in any unlawful activities, including but not limited to illegal online gambling or unsolicited commercial communications.
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the APIs or any related software, except to the extent expressly permitted by applicable law.
  • Use the APIs to collect, process, store, or transmit data in a manner that infringes upon the privacy or rights of end users.
  • Remove, obscure, alter, or bypass any terms of service, notices, disclaimers, or links associated with the Company’s APIs or services.

b) Confidentiality

  • Your access credentials, including but not limited to usernames, passwords, API keys, secrets, and client IDs, are strictly personal and confidential. You are solely responsible for safeguarding these credentials and must take all reasonable steps to prevent unauthorized use.
  • Any communication or information shared by Raghunandan Capital Private Limited that is marked as confidential, or which would reasonably be understood to be confidential by its nature, shall be treated as confidential information.
  • You agree not to disclose such confidential information to any third party without the prior written consent of the Company, unless disclosure is required by applicable law.

Unless expressly permitted by the Company or required under applicable laws, you shall not, nor allow others acting on your behalf to, perform the following actions with any data or content obtained through the APIs:

  • Scrape, store, cache, or create databases or permanent copies of API content with the intent to redistribute or commercially exploit it.
  • Copy, modify, translate, distribute, sell, lease, sublicense, publicly display, or create derivative works from the API content.
  • Misrepresent the source, ownership, or authenticity of the content.
  • Remove, obscure, or alter any copyright, trademark, proprietary notices, author attributions, legal notices, or source identifiers.

2. API Liability and Availability

a) Uptime and Availability

  • API response times, system availability, and account access may vary due to factors including but not limited to market volatility, trading volumes, technical limitations, system performance, or maintenance activities.
  • High market volatility, peak trading hours, or technical issues may result in delays in order execution or account access.
  • The Company does not guarantee uninterrupted or error-free availability of the APIs and shall not be responsible for disruptions caused by events beyond its reasonable control, including natural disasters, regulatory actions, or infrastructure failures.

b) No Warranties or Guarantees

  • The APIs and related services are provided on an “as is” and “as available” basis.
  • Raghunandan Capital Private Limited makes no representations, warranties, or guarantees—express or implied—regarding the accuracy, reliability, completeness, or suitability of the APIs for any particular purpose.
  • To the maximum extent permitted by law, the Company disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

c) Limitation of Liability

  • To the extent permitted by applicable law, Raghunandan Capital Private Limited shall not be liable for any direct or indirect losses, including but not limited to loss of profits, loss of revenue, loss of data, financial losses, or any incidental, consequential, special, exemplary, or punitive damages arising from the use of the APIs.
  • In all circumstances, the Company’s liability shall be limited to losses that are reasonably foreseeable and directly attributable to its proven gross negligence or willful misconduct.
